thisco-saleagreement(this'agreement')ismadeandenteredintoasof_________,_________,_________(m/d/y)byandbetweenaaausa,inc.,a_________(placename)corporation(the'pany'),(ii)bbb,inc.('bbb')and(iii)c(sb)('c(sb)').

a.concurrentlyherewith,bbbandthepanyareenteringintothatcertainagreement,datedasofthedatehereof(the'principalagreement;'capitalizedtermsusedhereinandnototherwisedefinedshallhavethemeaningsdefinedintheprincipalagreement),pursuanttowhich,amongotherthings,bbbwillacquiresharesofmonstockandwarrantsinconsiderationofthelicensebybbbofthebbblogosandthebbbcontentandprovisionbybbbofcertainbroadcastadvertisingandpromotion.

b.toinducebbbtoenterintotheprincipalagreement,c(sb)hasagreedtoenterintothisagreementandofferbbbtheopportunitytoparticipateincertainsalesofhissharesofmonstockofthepany.

nowtherefore,inconsiderationoftheaboverecitalsandthemutualcovenantsmadeherein,thepartiesherebyagreeasfollows:

1.rightofco-sale.

1.1noticeofsales.intheeventc(sb)proposestoaeptoneormorebonafideoffers(collectively,the'purchaseoffer')fromanypersonstopurchasefromhimsharesofthemonstockofthepany,hepromptlyshallgivewrittennotice(the'notice')tobbbdescribingfullythepurchaseoffer,includingthenumberofsharesofmonstockproposedtobetransferred(the'shares'),theproposedbonafidetransferpriceandthenameandaddressoftheproposedtransferee.thenoticemaybeincludedasapartofanynoticerequiredtobegivenbyc(sb)underarticleeight,section1ofthepany'sbylaws.

1.2participationright.totheextentthatthepanyandotherstockholdersofthepanyhavenotexercisedtheirrespectiverightsoffirstrefusaltopurchasethesharesinaordancewitharticleeightofthepany'sbylaws,bbbshallhavetheright(the'participationright')toparticipateinc(sb)'ssaleofthesharesunderthetermsandconditionsspecifiedinthepurchaseoffer.totheextentbbbexercisesitsparticipationrights,thenumberofshareswhichc(sb)maysellpursuanttothepurchaseoffershallbecorrespondinglyreduced.theparticipationrightofbbbissubjecttothefollowingtermsandconditions:

(a)numberofshares.bbbmaysellitsproratashareofthesharescoveredbythepurchaseoffer.bbb's'proratashare'forpurposesofthisagreementisthatnumberofsharesofmonstockequaltotheproductobtainedbymultiplying(i)theaggregatenumberofsharescoveredbythepurchaseoffer,times(ii)afraction,thenumeratorofwhichisthesumofthenumberofsharesofmonstockatthetimeownedbybbbandthedenominatorofwhichistheaggregatenumberofsharesofmonstockatthetimeoutstanding,assumingconversionofalloutstandingpreferredstockofthepanyandtheexerciseofalloptionsandwarrantsthenoutstanding.
