witnesseth

whereastheinstitutiondesirestopurchaseandthecontractordesirestoprovidecertainentertainmentservices,thepartiesherebyagreetothetermsandconditionssetforthherein.

1.thecontractorwillprovideentertainmentconsistingof_________________________.

5.institutionwillberesponsibleforprovidingthefollowingequipment/services:sound,lightingandelectricalserviceasrequired.

6.thecontractorwillberesponsibleforprovidingthefollowingequipment/services:(sound,lighting,security,etc.)

7.institutionshallmakepaymenttothecontractorbyuniversitycheckintheamountof__________;madepayableto________(ein______________)uponpletionoftheentertainmentperformance.

8.theinstitutionshallberesponsibleforanyapplicableamusementorsalestax.

9.thecontractorwarrantsthatnopartofthetotalcontractamountprovidedhereinshallbepaiddirectlyorindirectlytoanyofficeroremployeeofthestateoftennesseeaswages,pensation,iftsinexchangeforactingasofficer,agent,employee,subcontractor,orconsultanttothecontractorinconnectionwithanyservicesperformedrelativetothiscontract.thecontractorfurtherwarrantsthatwithinthepastsixmonthshehasnotbeenandduringthetermsofthiscontractwillnotbeeanemployeeofthestateoftennessee.

10.theinstitutionreservestherighttointerruptorterminatetheentertainment,oranyportionthereof,ifduringtheentertainmentperformance,theinstitutiondetermines,initssolediscretion,thatsuchactioniswarrantedtomaintainsecurityorpliancewithfederal,stateorlocallawsorregulationsoftennesseeboardofregentspolicy.suchaction,inandofitself,shallnotaffecttheinstitution’sobligationforpaymentunderthetermsofthiscontract;provided,however,thatpaymentmaybewithheldifsuchinterruptionorterminationisnecessaryduetoafailurebythecontractortoobserveinstitutionpoliciesofwhichithasbeeninformed.

11.thecontractoragreestoassumefullresponsibilityforpaymentofanyandallcopyrightroyaltiesduefortheentertainmentperformanceprovidedhereunder.thecontractorfurtheragreestoassumefullresponsibilityforanycopyrightinfringementwhichoursduringthecourseofsaidperformanceandagreestoindemnifyandholdtheinstitutionharmlessfromanyandallliabilitiesanddamagesarisingoutofanyactionforcopyrightinfringement.
