ThesummaryofPTBA’sproposalschemeinitspresentationisasfollows:

1PTBAcannotassignitsrightandobligationasminingpermitsholdertootherpartypursuanttothenewmininglaw.

2itisPTBAasminingpermitholderwhoshalldecidethecoalprice,hence,therevenuesaountshallbereckonedinPTBA’sbook.(whichmayaffecttoroyalty,tax,etc)

3coalsupplyagreementshallbeestablishedbetweenJVCpowerandPTBA.

REPORTBYCHAIRMAN:TheChairmanreportedthathehadmetMr.NathanRosenbergconcerningXYZ’sinterestsinputersoftwaredevelopmentandtheservicesMr.RosenbergispreparedtoextendtoaidXYZindevelopingtheseinterests.FortheinformationoftheChairman,Mr.RosenbergoutlinedthegrowthofthesoftwareindustryfromthetimehelaunchedABCSoftwarepanyin1987untiltoday.

REPORTBYGENERALMANAGER:

ThomasKilroysummarizedhisdetaileddiscussionswithJayJefferson,ChiefExecutiveOfficerofHudsonAudiovisualProductions(“Hudson”)andBZN’sinterestsinaudiovisualinstructionalmaterials.TheclassroomuseofaudiovisualinstructionalmaterialsintheUnitedStates,Canada,theUnitedKingdom,andothercountriesoftheEuropeanUnionhasbeenamajoreducationaltrendandhashadphenomenalgrowth.AtrendthateducatorsinNorthAmericaandWesternEuropepredictingislikelytocontinue.

SincetherearemanywaysthatHudsoncanhelpBZNdevelopaninternationalaudiovisualprogramforuseinEnglish-speakingcountriesandwithtranslationforotherpartsoftheworld,Mr.Kilroymadethefollowingproposal,secondedbyNicholsRaines,toauthorizeafeasibilitystudytocoverthefollowing:

a)ThepresenteducationalaudiovisualmarketplaceintheUnitedStates,Canada,andtheUnitedKingdom,and

itspotentialforexpansion.b)Presentpaniesoperatinginthismarketplaceandtheirshare.

c)Growthpatternsofdifferenttypesofaudiovisualmaterialsandtheirpotentialforcontinuedgrowthand

change.

REPORTBYMARKETINGMANAGER:

ThomasKilroygaveasummaryofastudyonthefeasibilityofacquiringanaudiovisualinstructionalmaterialspanyinNorthAmericaandtheUnitedKingdom.Resultsindicatemoreinvestigationisneeded.-ToselectthepaniesthatseemtoofferthebestopportunitiestoBZNandtoinvestigatethepossibilityofacquiringthem.

-ToinquireaboutthetermsofsalesfromtheownersofthepaniesselectedbyBZNandreportthesetermstoBZN.

MOTION:ChairmanBrownproposedamotion,secondedbySharonMoretti,thatanadhoommitteeofdirectorsshouldbeinstitutedtostudyMr.Rosenberg’sinvolvementingreaterdetail.Theboardagreedtovoteonthismotionatthenextmeeting.

RESOLUTION:Aresolutionauthorizingthepany’stransferagenttoissuenewshareswasunanimouslyadoptedbyallmembers.

NEXTMEETING:ItwasagreedthatthenextmeetingwillbeheldonMay2,20xx,at10:30A.M.,inthepanyboardroom.
