贸易中介合同范本
甲方(代理方)：
乙方(委托方)：
甲、乙双方本着平等互利、共同发展原则，经友好协商一致，乙方愿意委托甲方提供进出口货物报关委托书，并自愿达成如下协议：
一、甲方接受乙方委托，提供进出口贸易代理服务，代理乙方从事进出口贸易及相关业务。
二、甲方责任：提供报关委托书
三、乙方责任：
1.乙方负责与国外供货商联络，确定货物的规格、质量、数量和价格条件;
2.承担进出口过程中发生的一切费用(银行费用、换单费、保险费、报关报检费、检验检疫费、运输费、仓储费等)，将上述款项直接支付给相关收款单位或交给第三方代付;
3.乙方应在接到关税和海关代征增值税税票后按时向代收银行缴纳税款;
4.如代理进出口商品属免税、许可证商品，乙方负责办理相关的手续或证明，由此引起的一切责任和损失由乙方负担;
5.守法经营，不伪报、不满报，单单相符、单货相符、如实申报、提供货物的真实情况，对于伪报商品名称、夹带私运物品、高值低报、少报通关数量等违反相关法律法规的行为，乙方承担一切责任和后果，并赔偿给甲方造成的损失。
四、在贸易合同执行中，如因国外客户或乙方的原因造成合同的变更、解除、终止或违反合同致使变更或终止本协议，甲方不承担责任，因甲方代理行为的过错造成的损失除外。
五、甲方在执行本协议中，对于乙方或第三方的经济、刑事等纠纷，甲方不负连带责任。由此给甲方造成的损失，乙方承担全部责任。
六、如因执行本协议发生纠纷，适用《对外贸易代理制暂行规定》，《对外贸易法》作为本协议的准据法。
七、若甲乙双方发生争执纠纷，应协商解决，协商不成，由甲方所在地法院管辖。
八、本协议正本一式两份，甲乙双方各执一份，副本若干份送甲方据以审批、核算、对外付汇等。
九、本协议自签订之日起生效，有效期为一年，对双方具有同等约束力。

为在平等互利的基础上发展贸易，有关方按下列条件签订本协议：

4.订单的确认

本协议所规定商品的数量、价格及装运条件等，应在每笔交易中确认，其细目应在双方签订的销售协议书中作出规定。

5.付款
Payment
订单确认之后，乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤销的即期信用证。乙方开出信用证后，应立即通知甲方，以便甲方准备交货。

6.佣金

在本协议期满时，若乙方完成了第二款所规定的数额，甲方应按装运货物所收到的发票累计总金额付给乙方*%的佣金。
UpontheexpirationoftheAgreementandPartyB'sfullfilmentofthetotalturnovermentionedinArticle2,PartyAshallpaytoPartyB...%missiononthebasisoftheaggregateamountoftheinvoicevalueagainsttheshipmentseffected.
7.市场情况报告
ReportsonMarketConditions
乙方每3个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其他供应商的类似商品样品及其价格、销售情况和广告资料。
PartyBshallforwardonceeverythreemonthstopartyAdetailedreportsoncurrentmarketconditionsandofconsumers'ments.Meanwhile,PartyBshall,fromtimetotime,sendtopartyAsamplesofsimilarmoditiesofferedbyothersuppliers,togetherwiththeirprices,salesinformationandadvertisingmaterials.
8.宣传广告费用
Advertising&PublicityExpenses
在本协议有效期内，乙方在上述经销地区所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。
PartyBshallbearallexpensesforadvertisingandpublicitywithintheaforementionedterritoryinthedurationofthisAgreementandsubmittoPartyAallpatternsand/ordrawingsanddescriptionforpriorapproval.
9.协议有效期
ValidityofAgreement
本协议经双方签字后生效，有效期为天，自至。若一方希望延长本协议，则须在本协议期满前1个月书面通知另一方，经双方协商决定。
若协议一方未履行协议条款，另一方有权终止协议。
ThisAgreement,afteritsbeingsignedbythepartiesconcerned,shallremaininforcefor...daysfrom...to...IfeitherPartywishestoextendthisAgreement,heshallnotice,inwriting,theotherpartyonemonthpriortoitsexpiration.Themattershallbedecidedbytheagreementandbyconsentofthepartieshereto.Shouldeitherpartyfailtoimplementthetermsandconditionsherein,theotherpartyisentitledtoterminatethisAgreement.
10.仲裁
Arbitration
在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商达不成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会的决定是终局的，对双方均具有约束力。仲裁费用，除另有规定外，由败诉一方负担。
AlldisputesarisingfromtheexecutionofthisAgreementshallbesettledthroughfriendlyconsultations.Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedtotheForeignTradeArbitrationmissionoftheChinaCouncilforthePromotionofInternationalTradeforarbitrationinaordancewithitsprovisionalrulesofprocedure.Thedecisionmadebythismissionshallberegardedasfinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.
11.其他条款
OtherTerms&Conditions
(1)甲方不得向经销地区其他买主供应本协议所规定的商品。如有询价，当转达给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给予乙方*%的佣金。
PartyAshallnotsupplythecontractedmoditytoanyotherbuyer(s)intheabovementionedterritory.Directenquiries,ifany,willbereferredtoPartyB.However,shouldanyotherbuyerswishtodealwithPartyAdirectly,PartyAmaydoso.ButpartyAshallsendtoPartyBacopyofSalesConfirmationandgivePartyB...%missiononthebasisoftheinvoicevalueofthetransaction(s)concluded.
(2)若乙方在*月内未能向甲方提供至少订货，甲方不承担本协议的义务。
ShouldPartyBfailtopassonhisorderstoPartyAinaperiodof...monthsforaminimumof...,PartyAshallnotbindhimselftothisAgreement.
(3)对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议约束。乙方不得干涉此种直接贸易，也无权向甲方提出任何补偿或佣金要求。
ForanybusinesstransactedbetweengovernmentsofbothParties,PartyAmayhandlesuchdirectdealingsasauthorizedbyPartyA'sgovernmentwithoutbindinghimselftothisAgreement.PartyBshallnotinterfereinsuchdirectdealingsnorshallPartyBbringforwardanydemandforpensationtherefrom.
(4)本协议受签约双方所签订的销售确认条款的制约。
ThisAgreementshallbesubjecttothetermsandconditionsintheSalesConfirmationsignedbybothpartieshereto.
