Article10InspectionofAnalysis&Weight

TheshipmentinspectionandanalysisshallbedonebyICappointedbytheSellerandoneindependentsurveyor(i.e.:SGSeo-Chem,etc)appointedbythebuyerasagreedbybothpartiesatsitebeforeloadingtocontainer.Whilefinalweightandqualitydeterminationshallbedoneatloadingportbytheabovejoint-survey.Moisturecontentshallbedeductedfromthetotalweightshipped.

Sellershallpresentthefollowingdocumentstothebuyer:

A.   SignedmercialInvoicefor100%ofthetotalcargovalueindicating,quantity,unitpriceandthetotalAmountofValueofthedeliveredmodity,1originaland3copies.

B.   Certificatesofquantity,qualityandweightissuedbyICandoneindependentsurveyorappointedbythebuyer.

C.  CertificateofOriginissuedbyABCDepartmentOfTradeorconcernedGovernmentauthorities,Ioriginaland2copies.

D.  WeightList,showingtotalweight,1originaland3copies.

E.   BillofLading,3originalcopiesand3non-negotiablecopies.

Article12ForceMajeure

TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeureunderUCP600.Thesellershalladvisethebuyerimmediatelyoftheourrencementionedaboveandwithin3daysthereafterthesellershallsendanoticebycouriertothebuyeroftheiraeptanceofacertificateoftheaidentissuedbythelocalchamberofmerceunderwhosejurisdictiontheaidentoursasevidencethereof.Undersuchcircumstancestheseller,however,arestillunderobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaidentlastsformorethan60daysthebuyershallhavetherighttocanceltheContract.

Article13Arbitration

AlldisputesarisingoutoforinconnectionwiththisContractshallbefinallyresolvedbyarbitrationinaordancewiththeRulesofArbitrationoftheInternationalChamberofmerce(UCP-600/2007orUniformCustomsandPracticeforDocumentaryCredits)byoneormorearbitratorsappointedinaordancewiththesaidrules.ThearbitrationshallbeconductedinABCbytheEnglishlanguage.
