12termsofpayment:

onemonthpriortothetimeofshipmentthebuyershallopenwiththebankof_______anirrevocableletterofcreditinfavourofthesellerpayableattheissuingbankagainstpresentationofdocumentsasstipulatedunderclause18.a.ofsectionii,thetermsofdeliveryofthiscontractafterdepartureofthecarryingvessel.thesaidletterofcreditshallremaininforcetillthe15thdayaftershipment.

13otherterms:

unlessotherwiseagreedandaeptedbythebuyer,allothermattersrelatedtothiscontractshallbegovernedbysectionii,thetermsofdeliverywhichshallformanintegralpartofthiscontract.anysupplementarytermsandconditionsthatmaybeattachedtothiscontractshallautomaticallyprevailoverthetermsandconditionsofthiscontractifsuchsupplementarytermsandconditionseinconflictwithtermsandconditionshereinandshallbebindinguponbothparties.

14fob/fasterms

14.1theshippingspaceforthecontractedgoodsshallbebookedbythebuyerorthebuyer'sshippingagent__________.

14.2underfobterms,thesellershallundertaketoloadthecontractedgoodsonboardthevesselnominatedbythebuyeronanydatenotifiedbythebuyer,withinthetimeofshipmentasstipulatedinclause8ofthiscontract.

14.3underfasterms,thesellershallundertaketodeliverthecontractedgoodsunderthetackleofthevesselnominatedbythebuyeronanydatenotifiedbythebuyer,withinthetimeofshipmentasstipulatedinclause8ofthiscontract.

14.410-15dayspriortothedateofshipment,thebuyershallinformthesellerbycableortelexofthecontractnumber,nameofvessel,etaofvessel,quantitytobeloadedandthenameofshippingagent,soastoenablethesellertocontacttheshippingagentdirectandarrangetheshipmentofthegoods.thesellershalladvisebycableortelexintimethebuyeroftheresultthereof.should,forcertainreasons,itbeenecessaryforthebuyertoreplacethenamedvesselwithanotherone,orshouldthenamedvesselarriveattheportofshipmentearlierorlaterthanthedateofarrivalaspreviouslynotifiedtotheseller,thebuyeroritsshippingagentshalladvisethesellertothiseffectinduetime.thesellershallalsokeepinclosecontactwiththeagentorthebuyer.

14.5shouldthesellerfailtoloadthegoodsonboardortodeliverthegoodsunderthetackleofthevesselbookedbythebuyer.withinthetimeasnotifiedbythebuyer,afteritsarrivalattheportofshipmentthesellershallbefullyliabletothebuyerandresponsibleforalllossesandexpensessuchasdeadfreight,demurrage.consequentiallossesincurreduponand/orsufferedbythebuyer.

14.6shouldthevesselbewithdrawnorreplacedordelayedeventuallyorthecargobeshutoutetc.,andthesellerbenotinformedingoodtimetostopdeliveryofthecargo,thecalculationofthelossinstorageexpensesandinsurancepremiumthussustainedattheloadingportshallbebasedontheloadingdatenotifiedbytheagenttotheseller(orbasedonthedateofthearrivalofthecargoattheloadingportincasethecargoshouldarrivetherelaterthanthenotifiedloadingdate).theabovementionedlosstobecalculatedfromthe16thdayafterexpiryofthefreestoragetimeattheportshouldbebornebythebuyerwiththeexceptionofforcemajeure.however,thesellershallstillundertaketoloadthecargoimmediatelyuponthecarryingvessel'sarrivalattheloadingportatitsownriskandexpenses.thepaymentoftheafore-saidexpensesshallbeeffectedagainstpresentationoftheoriginalvouchersafterthebuyer'sverification.

15c&fterms

15.1thesellershallshipthegoodswithinthetimeasstipulatedinclause8ofthiscontractbyadirectvesselsailingfromtheportofloadingtochinaport.transhipmentonrouteisnotallowedwithoutthebuyer'spriorconsent.thegoodsshallnotbecarriedbyvesselsflyingflagsofcountriesnotaeptabletotheportauthoritiesofchina.

15.2thecarryingvesselcharteredbythesellershallbeseaworthyandcargoworthy.thesellershallbeobligedtoactprudentlyandconscientiouslywhenselectingthevesselandthecarrierwhencharteringsuchvessel.thebuyerisjustifiedinnotaeptingvesselscharteredbythesellerthatarenotmembersofthepiclub.

15.3thecarryingvesselcharteredbythesellershallsailandarriveattheportofdestinationwithinthenormalandreasonableperiodoftime.anyunreasonableaviationordelayisnotallowed.

15.4theageofthecarryingvesselcharteredbythesellershallnotexceed15years.incaseherageexceeds15years,theextraaverageinsurancepremiumthusincurredshallbebornebytheseller.vesselover20yearsofageshallinnoeventbeaeptabletothebuyer.

15.5forcargolotsover1,000m/teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbythebuyer,thesellershall,atleast10dayspriortothedateofshipment,informthebuyerbytelexorcableofthefollowinginformation:thecontractnumber,thenameofmodity,quantity,thenameofthecarryingvessel,theage,nationality,andparticularsofthecarryingvessel,theexpecteddateofloading,theexpectedtimeofarrivalattheportofdestination,thename,telexandcableaddressofthecarrier.

15.6forcargolotsover1,000m/teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbythebuyer,themasterofthecarryingvesselshallnotifythebuyerrespectively7(seven)daysand24(twenty-four)hourspriortothearrivalofthevesselattheportofdestination,bytelexorcableaboutitseta(expectedtimeofarrival),contractnumber,thenameofmodity,andquantity.

15.7ifgoodsaretobeshippedperlinervesselunderlinerbilloflading,thecarryingvesselmustbeclassifiedasthehighest____________orequivalentclassaspertheinstituteclassificationclauseandshallbesomaintainedthroughoutthedurationoftherelevantbilloflading.

nevertheless,themaximumageofthevesselshallnotexceed20yearsatthedateofloading.thesellershallbeartheaverageinsurancepremiumforlinervesselolderthan20years.undernocircum-stancesshallthebuyeraeptvesselover25yearsofage.

15.8forbreakbulkcargoes,ifgoodsareshippedincontainersbythesellerwithoutpriorconsentofthebuyer,apensationofacertainamounttobeagreeduponbybothpartiesshallbepayabletothebuyerbytheseller.

15.9thesellershallmaintainclosecontactwiththecarryingvesselandshallnotifythebuyerbyfastestmeansofmunicationaboutanyandallaidentsthatmayourwhilethecarryingvesselisonroute.thesellershallassumefullresponsibilityandshallpensatethebuyerforalllossesincurredforitsfailuretogivetimelyadviceornotificationtothebuyer.

16cifterms:

undercifterms,besidesclause15c&ftermsofthiscontractwhichshallbeappliedthesellershallberesponsibleforcoveringthecargowithrelevantinsurancewithirrespectivepercentage.

17adviceofshipment:

within48hoursimmediatelyafterpletionofloadingofgoodsonboardthevesselthesellershalladvisethebuyerbycableortelexofthecontractnumber,thenameofgoods,weight(/gross)orquantityloaded,invoicevalue,nameofvessel,portofloading,sailingdateandexpectedtimeofarrival(eta)attheportofdestination.shouldthebuyerbeunabletoarrangeinsuranceintimeowingtotheseller'sfailuretogivetheabovementionedadviceofshipmentbycableortelex,thesellershallbeheldresponsibleforanyandalldamagesand/orlossesattributabletosuchfailure.

18shippingdocuments

18.athesellershallpresentthefollowingdocumentstothepayingbankfornegotiationofpayment:

18.a.1fullsetofcleanonboard,"freightprepaid"forc&f/ciftermsor"freighttocollect"forfob/fasterms,oceanbillsoflading,madeouttoorderandblankendorsed,notifying___________attheportofdestination.

18.a.2fivecopiesofsignedinvoice,indicatingcontractnumber,l/umber,nameofmodity,fullspecifications,andshippingmark,signedandissuedbythebeneficiaryofletterofcredit.

18.a.3twocopiesofpackinglistand/orweightmemowithindicationofgrossandweightofeachpackageand/ormeasurementsissuedbybeneficiaryofletterofcredit.

18.a.4twocopieseachofthecertificatesofqualityandquantityorweightissuedbythemanufacturerand/oraqualifiedindependentsurveyorattheloadingportandmustindicatefullspecificationsofgoodsconformingtostipulationsinletterofcredit.

18.a.5oneduplicatecopyofthecableortelexadviceofshipmentasstipulatedinclause17ofthetermsofdelivery.

18.a.6aletterattestingthatextracopiesofabovementioneddocumentshavebeendispatchedaordingtothecontract.

18.a.7aletterattestingthatthenationalityofthecarryingvesselhasbeenapprovedbythebuyer.

18.a.8therelevantinsurancepolicycovering,butnotlimitedtoatleast110%oftheinvoicevalueagainstallandwarrisksiftheinsuranceiscoveredbythebuyer.

18.banyoriginaldocument(s)madebyrephotographicsystem,automatedorputerizedsystemorcarboncopiesshallnotbeaeptableunlesstheyareclearlymarkedas"original."andcertifiedwithsignaturesinhandwritingbyauthorisedofficersoftheissuingpanyorcorporation.

18.cthroughbilloflading,stalebilloflading,shortformbilloflading,shallnotbeaeptable.

18.dthirdpartyappointedbythebeneficiaryasshippershallnotbeaeptableunlesssuchthirdpartybillofladingismadeouttotheorderofshipperandendorsedtothebeneficiaryandblankendorsedbythebeneficiary.

18.edocumentsissuedearlierthantheopeningdateofletterofcreditshallnotbeaeptable.

18.finthecaseofc&f/cifshipments,charterpartybillofladingshallnotbeaeptableunlessbeneficiaryprovidesonecopyeachofthecharterparty,master'sofmate'sreceipt,shippingorderandcargoorstowageplanand/orotherdocumentscalledforintheletterofcreditbythebuyer.

18.gthesellershalldispatch,incareofthecarryingvessel,twocopieseachoftheduplicatesofbilloflading.invoiceandpackinglisttothebuyer'sreceivingagent,_______________attheportofdestination.

18.himmediatelyafterthedepartureofthecarryingvessel,thesellershallairmailonesetoftheduplicatedocumentstothebuyerandthreesetsofthesameto

______________________________transportationcorporationattheportofdestination.

18.ithesellershallassumefullresponsibilityandbeliabletothebuyerandshallpensatethebuyerforalllossesarisingfromgoingastrayofand/orthedelayinthedispatchoftheabovementioneddocuments.

18.jbankingchargesoutsidethepeople'srepublicofchinashallbefortheseller'saount.

19ifthegoodsunderthiscontractaretobedispatchedbyair,allthetermsandconditionsofthiscontractinconnectionwithoceantransportationshallbegovernedbyrelevantairterms.

20instructionleafletsondangerouscargo:fordangerousand/orpoisonouscargo,thesellermustprovideinstructionleafletsstatingthehazardousorpoisonousproperties,transportation,storageandhandlingremarks,aswellasprecautionaryandfirst-airmeasuresandmeasuresagainstfire.thesellershallairmail,togetherwithothershippingdocuments,threecopieseachofthesametothebuyerand___________________transportationcorporationattheportofdestination.

21inspection&claims:

incasethequality,quantityorweightofthegoodsbefoundnotinconformitywiththoseasstipulatedinthiscontractuponre-inspectionbythechinamodityimportandexportinspectionbureauwithin60daysafterpletionofthedischargeofthegoodsattheportofdestinationor,ifgoodsareshippedincontainers,60daysaftertheopeningofsuchcontainers,thebuyershallhavetherighttorequestthesellertotakebackthegoodsorlodgeclaimsagainstthesellerforpensationforlossesuponthestrengthoftheinspectioncertificateissuedbythesaidbureau,withtheexceptionofthoseclaimsforwhichtheinsurersorownersofthecarryingvesselareliable,allexpensesincludingbutnotlimitedtoinspectionfees,interest,lossesarisingfromthereturnofthegoodsorclaimsshallbebornebytheseller.insuchacase,thebuyermay,ifsorequested,sendasampleofthegoodsinquestiontotheseller,providedthatsamplingandsendingofsuchsampleisfeasible.

22damages:

withtheexceptionoflatedeliveryornon-deliverydueto"forcemajeure"causes,ifthesellerfailstomakedeliveryofthegoodsinaordancewiththetermsandconditions,jointlyorseverally,ofthiscontract,thesellershallbeliabletothebuyerandindemnifythebuyerforalllosses,damages,includingbutnotlimitedto,purchasepriceand/orpurchasepricedifferentials,deadfreight,demurrage,andallconsequentialdirectorindirectlosses.thebuyershallneverthelesshavetherighttocancelinpartorinwholeofthecontractwithoutprejudicetothebuyer'srighttoclaimpensations.

23forcemajeure:

neitherthesellerorthebuyershallbeheldresponsibleforlatedeliveryornon-deliveryowingtogenerallyrecognized"forcemajeure"causes.howeverinsuchacase,thesellershallimmediatelyadvisebycableortelexthebuyeroftheaidentandairmailtothebuyerwithin15daysaftertheaident,acertificateoftheaidentissuedbythepetentgovernmentauthorityorthechamberofmercewhichislocatedattheplacewheretheaidentoursasevidencethereof.ifthesaid"forcemajeure"causelastsover60days,thebuyershallhavetherighttocancelthewholeortheundeliveredpartoftheorderforthegoodsasstipulatedincontract.

24arbitration:

bothpartiesagreetoattempttoresolvealldisputesbetweenthepartieswithrespecttotheapplicationorinterpretationofanytermhereofoftransactionhereunder,throughamicablenegotiation.ifadisputecannotberesolvedinthismannertothesatisfactionofthesellerandthebuyerwithinareasonableperiodoftime,maximumnotexceeding90daysafterthedateofthenotificationofsuchdispute,thecaseunderdisputeshallbesubmittedtoarbitrationifthebuyershoulddecidenottotakethecasetocourtataplaceofjurisdictionthatthebuyermaydeemappropriate.unlessotherwiseagreeduponbybothparties,sucharbitrationshallbeheldin________,andshallbegovernedbytherulesandproceduresofarbitrationstipulatedbytheforeigntradearbitrationmissionofthechinacouncilforthepromotionofinternationaltrade.thedecisionbysucharbitrationshallbeaeptedasfinalandbindinguponbothparties.thearbitrationfeesshallbebornebythelosingpartyunlessotherwiseawarded.
